Credably's Terms of Use regulate access to its credit, BNPL, and merchant services, defining user rights, responsibilities, data protection obligations, security requirements, and applicable legal conditions.

1. INTRODUCTION
These Terms of Use ("Terms") constitute a legally binding agreement between Credably Technologies Limited ("Credably", "the Company", "we", "our", or "us") and every individual, customer, merchant, visitor, partner, vendor, or other person ("User", "you", or "your") who accesses or uses any of our products, services, websites, mobile applications, portals, software, dashboards, APIs, or related platforms.
By accessing, registering for, or using any Credably service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other applicable agreements, policies, notices, or disclosures published by Credably.
If you do not agree with these Terms, you must immediately discontinue use of the Services.
2. DEFINITIONS
For the purposes of these Terms:
- Account means a registered profile created by a user to access Credably's services.
- Customer means an individual who applies for or uses any financing, credit, BNPL, repayment, or related service offered by Credably.
- Merchant means a business entity registered to offer products or services through Credably's merchant platform.
- Personal Data means information relating to an identified or identifiable individual.
- Services means all products, technologies, platforms, applications, software, websites, content, and services offered by Credably.
- Credit Facility means any loan, instalment payment plan, credit line, BNPL arrangement, or related financial service offered by Credably.
- Applicable Laws means all laws, regulations, guidelines, directives, and regulatory requirements applicable to the Services.
3. ELIGIBILITY
To use the Services, you must:
- Be at least eighteen (18) years of age;
- Have the legal capacity to enter into a binding contract;
- Provide complete, accurate, and truthful information;
- Have an active bank account where required;
- Comply with all applicable laws and regulations.
Merchants must additionally:
- Be duly registered under applicable laws;
- Possess all required licences and permits;
- Have authority to bind the business to these Terms;
- Operate a legitimate business.
Credably reserves the right to approve or reject any application at its sole discretion.
4. ACCOUNT REGISTRATION AND SECURITY
Certain Services require registration of an Account.
You agree to:
- Provide accurate and complete information during registration;
- Keep your information current and accurate;
- Maintain the confidentiality of your username, password, PIN, OTP, and other security credentials;
- Take responsibility for all activities carried out through your Account;
- Notify Credably immediately of any unauthorized access, security breach, or suspected compromise.
Credably may suspend or terminate Accounts containing inaccurate, misleading, incomplete, or fraudulent information.
5. CUSTOMER IDENTIFICATION, KYC AND VERIFICATION
As part of its legal and regulatory obligations, Credably may require you to provide information and documents necessary for identity verification and compliance purposes.
Such information may include:
- Full name;
- Date of birth;
- Email address;
- Mobile telephone number;
- Residential address;
- BVN;
- NIN;
- Government-issued identification;
- Selfie photographs;
- Bank account information;
- Employment information;
- Business registration documents;
- Beneficial ownership information; and
- Any other information reasonably required for verification.
You authorize Credably to verify information supplied through self-owned verification services, third-party verification services, financial institutions, government databases, and other legally permitted sources.
Failure to provide the required information may result in delays, restrictions, suspension, or denial of Services.
6. DESCRIPTION OF SERVICES
Credably provides digital financial services including but not limited to:
Customer Services
· Consumer credit;
· Buy Now Pay Later (BNPL) solutions;
· Instalment payment plans;
· Credit assessment and underwriting;
· Repayment management;
· Customer account management;
· Financial technology solutions.
Merchant Services
· Merchant onboarding;
· Merchant dashboards and analytics;
· Customer financing solutions;
· Transaction management;
· Merchant settlement services;
· Merchant financing products;
· Account administration services.
Credably reserves the right to add, modify, suspend, or discontinue any Service at any time.
7. CREDIT APPLICATIONS AND DECISIONS
By applying for a credit facility, you authorize Credably to review and assess information relevant to your application.
Credably may evaluate:
· Identity information;
· Banking information;
· Income and employment information;
· Financial behaviour;
· Credit history;
· Repayment patterns;
· Transaction records;
· Fraud indicators;
· Risk indicators and behavioural data.
Submission of an application does not guarantee approval. All lending decisions are made at Credably's sole discretion, subject to applicable law and internal risk policies.
Credably reserves the right to decline, limit, suspend, withdraw, or modify any credit facility without incurring liability.
8. CUSTOMER OBLIGATIONS
By using our services as a customer, you agree to:
· Provide accurate information at all times;
· Use the Services lawfully and responsibly;
· Repay outstanding obligations as agreed;
· Keep sufficient funds available for authorized deductions;
· Maintain the confidentiality of account credentials;
· Cooperate with lawful investigations;
· Promptly update any material changes to your information.
You shall not:
· Submit false or misleading information;
· Impersonate another person;
· Commit fraud;
· Attempt to circumvent security controls;
· Use the Services for unlawful purposes;
· Interfere with the operation of the platform.
9. MERCHANT OBLIGATIONS
Merchants using Credably's Services shall:
· Maintain valid registration and licensing;
· Provide accurate business information;
· Deliver products and services as advertised;
· Comply with consumer protection and applicable laws;
· Maintain appropriate customer support processes;
· Protect customer information;
· Cooperate with audits, investigations, and compliance reviews.
Merchants shall not engage in deceptive, fraudulent, misleading, or unlawful business practices.
10. PAYMENTS, REPAYMENTS AND COLLECTIONS
Customers shall repay all credit obligations in accordance with the applicable repayment schedules and agreements.
By accepting a credit facility, you authorize Credably, where legally permissible and contractually agreed, to:
· Process payments;
· Receive repayments;
· Initiate authorized direct debit instructions;
· Recover overdue obligations;
· Reconcile transactions;
· Process refunds where applicable.
Failure to repay obligations may result in account restrictions, recovery proceedings, legal action, reporting to relevant authorities, and any other lawful remedial actions available to Credably.
11. FEES, CHARGES AND TAXES
You agree to pay all applicable fees, charges, taxes, processing fees, service fees, interest, and other amounts associated with your use of the Services.
Credably shall disclose applicable fees as required by law before the completion of relevant transactions.
12. ELECTRONIC RECORDS AND COMMUNICATIONS
You consent to receiving communications electronically.
Communications may be sent through:
· Email;
· SMS;
· Telephone calls;
· Push notifications;
· Mobile applications;
· Customer portals; or
· Other electronic channels.
Electronic communications shall have the same legal effect as communications delivered in physical form.
13. DATA PROTECTION AND PRIVACY
Credably is committed to protecting personal data in accordance with the Nigeria Data Protection Act 2023, applicable regulations, and industry best practices.
Personal data may be processed for:
· Identity verification;
· Customer onboarding;
· Credit assessment;
· Fraud prevention;
· Risk management;
· Service administration;
· Regulatory compliance;
· Customer support;
· Product improvement;
· Information security.
Credably shall implement appropriate technical and organizational safeguards to protect personal data from unauthorized access, disclosure, alteration, destruction, or loss.
14. CROSS-BORDER DATA TRANSFERS
Where necessary for service delivery, personal data may be processed, transferred, stored, or accessed outside Nigeria.
Such transfers shall only occur subject to appropriate legal, contractual, technical, and organizational safeguards designed to protect personal data and uphold data subjects' rights.
15. INFORMATION SECURITY
Credably employs reasonable security measures to protect its systems and data.
These measures may include:
· Encryption;
· Access controls;
· Multi-factor authentication;
· Firewalls;
· Security monitoring;
· Audit logging;
· Vulnerability management;
· Disaster recovery processes;
· Business continuity arrangements.
Users acknowledge that no system can be completely secure and agree to take reasonable steps to protect their own devices and credentials.
16. FRAUD PREVENTION AND MONITORING
To protect customers, merchants, and the integrity of the platform, Credably may monitor transactions, conduct investigations, verify identities, and assess suspicious activities.
Credably reserves the right to:
· Restrict accounts;
· Suspend transactions;
· Decline applications;
· Report suspicious activities to competent authorities;
· Initiate investigations where unlawful activity is suspected.
Users agree to cooperate fully with such investigations.
17. ACCEPTABLE USE POLICY
Users shall not:
· Access systems without authorization;
· Upload harmful software or malware;
· Interfere with the security of the Services;
· Reverse engineer software;
· Engage in unlawful conduct;
· Infringe intellectual property rights;
· Harass, abuse, or threaten other users;
· Use the Services in a manner that could damage the reputation or operations of Credably.
Violation of this clause may result in immediate suspension or termination of access.
18. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights in the Services, including software, trademarks, logos, text, graphics, designs, content, databases, and technology, remain the exclusive property of Credably or its licensors.
Nothing in these Terms transfers ownership of any intellectual property rights to users.
Users may not copy, modify, reproduce, distribute, sell, or create derivative works from any part of the Services without prior written consent.
19. THIRD-PARTY SERVICES
Credably may utilise third-party service providers, including:
· Financial institutions;
· Identity verification providers;
· Payment processors;
· Telecommunications providers;
· Cloud service providers;
· Analytics providers;
· Regulatory technology providers.
Credably shall not be responsible for interruptions, failures, or losses arising solely from the actions or omissions of independent third parties.
20. CONFIDENTIALITY
Users shall keep confidential all non-public information obtained through their use of the Services.
Confidential information shall not be disclosed to any third party except where required by law or authorized in writing.
This obligation survives termination of the relationship.
21. SUSPENSION AND TERMINATION
Credably may suspend, restrict, or terminate access to any Service where:
· Fraud is suspected;
· Security concerns arise;
· Regulatory requirements necessitate action;
· These Terms are breached;
· False information is provided;
· An account is used unlawfully.
Termination does not affect accrued rights, obligations, liabilities, or outstanding repayment obligations.
22. DISCLAIMERS
The Services are provided on an "as available" and "as is" basis.
Credably does not guarantee:
· Uninterrupted access;
· Continuous availability;
· Error-free operation;
· Approval of credit applications;
· Availability of any specific product;
· Compatibility with every device or network.
To the maximum extent permitted by law, all implied warranties are excluded.
23. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Credably shall not be liable for:
· Indirect losses;
· Consequential losses;
· Loss of profits;
· Loss of opportunities;
· Loss of business;
· Data loss;
· Service disruptions;
· User negligence;
· Events beyond Credably's reasonable control.
Nothing in these Terms excludes liability where such exclusion is prohibited by law.
24. INDEMNITY
You agree to indemnify and hold harmless Credably, its directors, officers, employees, agents, affiliates, successors, and assigns from any claim, action, loss, liability, damage, penalty, fine, or expense arising from:
· Breach of these Terms;
· Fraudulent conduct;
· Misuse of the Services;
· Violation of applicable laws;
· Violation of third-party rights.
25. COMPLAINTS AND DISPUTE RESOLUTION
Users who have complaints may contact Credably through designated support channels or the Data Protection Officer where privacy-related concerns are involved.
Credably shall investigate complaints in a fair, transparent, and timely manner.
Where disputes cannot be resolved amicably, the parties may pursue mediation, arbitration, or legal proceedings before the competent courts of Nigeria.
26. REGULATORY COMPLIANCE
Credably complies with applicable regulatory and legal requirements and may disclose information where required by law, court order, regulatory directive, or lawful governmental request.
Users agree to comply with all applicable laws while using the Services.
27. FORCE MAJEURE
Credably shall not be liable for delays, interruptions, or failures caused by events beyond its reasonable control, including:
· Natural disasters;
· Epidemics or pandemics;
· Civil unrest;
· Government actions;
· Power failures;
· Telecommunications outages;
· Cybersecurity incidents; or
· Other force majeure events.
28. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall remain valid and enforceable.
29. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Cookies Policy, Credit Agreements, Merchant Agreements, platform rules, notices, and related policies, constitute the entire agreement between you and Credably regarding the Services.
30. AMENDMENTS
Credably reserves the right to amend these Terms from time to time.
Revised Terms shall become effective upon publication through Credably's official communication channels. Continued use of the Services after publication constitutes acceptance of the revised Terms.
31. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising from or relating to these Terms shall be subject to the jurisdiction of the competent courts of Nigeria.
